Terms of Use for Faktura

1. About Faktura
Faktura is a Luxembourg-based software platform designed to help businesses create invoices, manage bookkeeping records, and generate financial summaries.
The platform is currently operated by its founders under the name "Faktura" and will be transferred to a Luxembourg legal entity upon incorporation.

2. Who Can Use Faktura
Faktura is intended for:
- Luxembourg SMEs
- Self-employed professionals
- Fiduciaries and accountants
- Business representatives
You must:
- Be at least 18 years old
- Provide accurate account information
- Use the platform for lawful business purposes
3. Your Account
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity under your account
- Ensuring your business information is accurate
We may suspend accounts if:
- These Terms are violated
- There is fraud or abuse
- We are legally required to do so
4. What Faktura Provides
Faktura is a cloud-based tool that may include:
- Invoice creation
- VAT-ready formatting (Luxembourg context)
- Customer and supplier tracking
- Basic financial reporting
- Data export
Faktura does not provide legal, tax, or accounting advice.
You remain responsible for:
- Compliance with Luxembourg accounting laws
- Accuracy of your entries
- Filing and reporting obligations
5. Subscriptions & Payment
Some features may require a paid subscription.
- Subscriptions are billed monthly or annually.
- Payment is due in advance.
- VAT will be applied in accordance with applicable Luxembourg law once a legal entity is established.
If payment fails, access may be limited or suspended. You may cancel at any time. Access continues until the end of the billing period.
6. Your Data
Your business data belongs to you.
Faktura:
- Stores and processes data to provide the service
- Does not sell user data
- May use anonymized, aggregated data to improve the platform
Users are responsible for maintaining required accounting records in accordance with Luxembourg law.
7. Data Protection (GDPR)
Faktura processes personal data in accordance with EU GDPR (Regulation 2016/679).
You act as the data controller for your customer data.
Faktura acts as a data processor for providing the service.
A separate Privacy Policy describes data processing practices.
8. Availability
We aim to provide reliable access to the platform.
However:
- Service may be interrupted for maintenance or updates
- We do not guarantee uninterrupted availability
- We are not liable for outages caused by hosting providers or third-party services
9. Acceptable Use
You may not:
- Use Faktura for illegal activities
- Attempt to access other users' data
- Reverse engineer or copy the platform
- Resell access without permission
We reserve the right to suspend accounts for misuse.
10. Third-Party Services
Faktura may integrate with external providers such as:
- Payment processors
- Email services
- Banking APIs
- Accounting tools
We are not responsible for third-party services or their policies.
11. Limitation of Liability
To the maximum extent permitted by Luxembourg law:
- Faktura is not liable for indirect or consequential damages.
- Total liability is limited to the amount paid by the user in the 12 months preceding the claim.
Nothing excludes liability for intentional misconduct or mandatory legal obligations.
12. Termination
You may stop using Faktura at any time.
We may suspend or terminate access if:
- These Terms are breached
- There is fraud
- We are required by law
After termination, you may export your data within a reasonable timeframe (e.g. 30 days), after which data may be deleted.
13. Pre-Incorporation Notice
Faktura is currently in a pre-incorporation phase. Upon establishment of a Luxembourg legal entity, rights and obligations under these Terms may be transferred to that entity.
Users will be notified of such transfer.
14. Changes to These Terms
We may update these Terms from time to time.
If changes are significant, we will notify users via the platform or email.
Continued use constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of Luxembourg.
Disputes fall under the jurisdiction of Luxembourg courts.
16. Beta disclaimer
As of February 2026, the platform may contain beta features provided "as is" without warranties of stability or fitness for a particular purpose.
